--- BIKE VAULT DEALER AGREEMENT ---

I/we hereby acknowledge that the information contained in this application is correct and that any merchandise purchased from Bike Vault/Secure Storage Technologies, LLC, will be used for resale only. Should the information provided on this application change at any time, I/we acknowledge that my/our account might be subject to re-approval and that such action may include new application and verification of a current state sales and use tax certificate.

Secure Storage Technologies reserves the right to cancel, modify, or suspend the free Bike Vault display program at anytime without further notice.

I/we agree acknowledge the Bike Vault and Bike Vault display remain the property of Secure Storage Technologies, LLC and are for display purposes, in a retail location. Any other use or placement other than in a retail store location constitutes a breach of this agreement.

If I/we request Secure Storage Technologies LLC to extend credit, I/we authorize reasonable credit inquiries, including personal and business credit reports, and bank references for the purpose of establishing and maintaining a credit relationship with Bike Vault/Secure Storage Technologies, LLC.

I/we agree to the terms as noted on the invoice by Bike Vault/Secure Storage Technologies, LLC, and agree to pay the total amount due, including late payment fees, if the invoice is paid after the due date.

All debts are due and payable at the time of termination of the account. Should a change of ownership occur, I/we shall be liable for all debts incurred until Bike Vault/Secure Storage Technologies, LLC, has been notified in writing. Should a change in business status occur (i.e. changes from single prop or partnership to LLC, LLP or Corporation), I/we shall be liable for all debts incurred until Bike Vault/Secure Storage Technologies, LLC, has been notified in writing and a new Dealer Application is received.

In the event I/we tender payment of invoice by check and that check is dishonored by the bank for any reason, I/we agree to pay a $20.00 charge for each dishonored In addition, I/we agree to pay any late payment fees incurred on those dishonored checks.

If it is necessary for Bike Vault/Secure Storage Technologies, LLC, to incur any costs to enforce this agreement, I/we agree to pay all of Bike Vault/Secure Storage Technologies, LLC collection costs, including but not limited to, reasonable attorney fees and collection fees.

This Agreement may be terminated at any time at the discretion of either party, provided that written notice of such termination is furnished to the other party thirty (30) days prior to such termination. Upon termination, I/we agree to return the Bike Vault and Display provided under this agreement.

The provisions of this agreement are herby made applicable to and shall insure to the benefit of Secure Storage Technologies, LLC successor's, assigns and heirs.

I/we acknowledge that Secure Storage Technologies, LLC retains all patent, trademark, and other intellectual property rights associated with Secure Storage Technologies products, promotions, business processes, services.

This agreement is governed under the laws of Nevada.
